Alliance for Societal Impact LLC

Terms of Use – Conference Registration and Attendance

Effective December 2, 2025

Alliance for Societal Impact LLC (“Alliance,” “we,” “us,” or “our”) organizes and hosts conferences, summits, workshops, and related events (each an “Event” and collectively the “Events”). These Terms of Use govern your registration for, attendance at, and participation in any Event, whether in-person, virtual, or hybrid.

By registering for or attending an Event, you agree to be bound by these Terms of Use and any additional rules, policies, or instructions communicated by Alliance (including any Event-specific code of conduct).

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to register for or attend an Event. By registering or attending, you represent that you meet this requirement.

2. Registration and Payment

- All registrations are subject to approval by Alliance.

- Payment of the applicable registration fee (if any) is required at the time of registration unless otherwise stated.

- Fees are non-refundable except as expressly stated in the Event’s refund policy (published on the Event registration page). If no separate refund policy is published, all fees are non-refundable.

- We reserve the right to cancel any registration or deny entry to any person at our sole discretion, with a full or partial refund as we deem appropriate.

3. Transfers and Substitutions

Registration is personal and generally non-transferable. Limited substitutions or transfers may be permitted with prior written approval from Alliance and payment of any applicable administrative fee.

4. Event Changes and Cancellation

- Alliance reserves the right to alter the Event program, speakers, schedule, venue, format (in-person, virtual, or hybrid), dates, or any other aspect at any time without liability.

- If an Event is cancelled entirely by Alliance for any reason, registrants will receive a full refund of registration fees paid. This is your sole remedy. Alliance is not responsible for any other costs incurred (travel, accommodation, etc.).

5. Attendance and Conduct

- You must comply with all venue rules, health and safety protocols, and any Event-specific code of conduct.

- Alliance promotes a respectful, inclusive, and harassment-free environment. Prohibited conduct includes, but is not limited to: harassment, discrimination, disruptive behavior, unauthorized recording or photography, and violation of intellectual property rights.

- We may remove any attendee from an Event (physically or virtually) without refund if, in our sole judgment, you violate these Terms or engage in prohibited conduct.

6. Recordings, Photography, and Media

- Events may be recorded, photographed, or livestreamed by Alliance or its authorized representatives.

- By attending, you grant Alliance an irrevocable, royalty-free, worldwide license to use your name, likeness, voice, and any photographs, video, or audio recordings taken of you at the Event for promotional, archival, and educational purposes.

- Personal recording or livestreaming of sessions is prohibited unless expressly authorized in advance.

7. Intellectual Property

- All Event content, including presentations, materials, slides, and recordings, is owned by Alliance or its licensors and protected by copyright and other laws.

- Attendees are granted a limited, non-transferable license to view materials for personal, non-commercial use only. You may not distribute, reproduce, modify, or create derivative works without prior written permission.

8. Health and Safety

You agree to comply with all applicable health and safety requirements (including vaccination, testing, or masking policies) in effect at the time of the Event. Alliance is not liable for any illness, injury, or exposure to communicable diseases arising from attendance.

9. Limitation of Liability

To the fullest extent permitted by law, Alliance, its affiliates, officers, employees, sponsors, speakers, and volunteers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your attendance at or inability to attend an Event.

In no event will our total liability to you for all damages exceed the amount you paid for registration (if any).

10. Indemnification

You agree to indemnify, defend, and hold harmless Alliance and its affiliates, officers, employees, sponsors, and partners from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your attendance at the Event or violation of these Terms.

11. Force Majeure

Alliance is not liable for failure to perform any obligation under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, government restrictions, labor disputes, or venue unavailability.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising out of these Terms or your attendance at an Event shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware.

13. Changes to Terms

We may update these Terms at any time. The updated version will be posted on the Event website, and continued attendance after such changes constitutes acceptance.
